Terms of Service

1. Acceptance of Terms

By downloading, installing, accessing, or using StatsKey ("the Application"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not use the Application. We reserve the right to modify these Terms at any time. Your continued use of the Application following any changes constitutes acceptance of the revised Terms.

2. Description of Service

StatsKey is a nutrition, fitness, and biometric tracking application that provides:

• AI-powered food recognition and nutritional estimation from photographs and text
• Nutritional analysis and tracking across 50+ nutrients
• Exercise, activity, and workout logging
• Weight and body metrics monitoring
• Continuous glucose monitor (CGM) integration and historical glucose record syncing
• Apple Health integration, including optional import of historical records you authorize
• AI conversational features for health data queries, including queries that use synced historical glucose records
• Cloud synchronization

Features may be added, modified, limited, suspended, renamed, replaced, or removed at any time without notice.

3. User Accounts

• You must be at least 13 years old to use StatsKey.
• You must provide accurate and complete account information.
• You are solely responsible for maintaining the confidentiality and security of your account credentials.
• One account per person.
• You must notify us immediately of any unauthorized access to or use of your account.
• You are responsible for all activity that occurs under your account.

4. Medical Disclaimer

IMPORTANT — PLEASE READ CAREFULLY. StatsKey is NOT a medical device, is NOT intended to diagnose, treat, cure, or prevent any disease or medical condition, and is NOT a substitute for professional medical advice, diagnosis, treatment, glucose monitoring, or diabetes management. All nutritional information, glucose data displays, glucose trend analysis, biometric correlations, health insights, reports, alerts, summaries, and AI-generated outputs provided by StatsKey are estimates and approximations only. They may be delayed, inaccurate, incomplete, unavailable, or incorrect. Do not use StatsKey, synced glucose records, alerts, summaries, AI outputs, reports, or other Application content to make insulin dosing decisions, medication decisions, hypoglycemia or hyperglycemia treatment decisions, emergency decisions, or any other medical decisions. Use the applicable CGM device, manufacturer-provided application or receiver, product labeling, blood glucose meter checks when appropriate, and advice from your qualified healthcare professional for medical decisions. Never disregard professional medical advice or delay seeking treatment because of information provided by StatsKey. You assume full responsibility for how you use any information provided by the Application. If you experience a medical emergency, call your local emergency services immediately.

5. AI-Generated Content Disclaimer

StatsKey uses third-party artificial intelligence services (including but not limited to Google Gemini, Anthropic Claude, OpenAI ChatGPT, xAI Grok, and other providers we may select) to analyze food photographs, estimate nutritional content, generate training or nutrition content, and generate conversational responses about your health data. If you enable the relevant features, AI conversational responses may use synced historical health records, including glucose records imported from Apple Health, CGM providers, or other sources and backed up to your StatsKey account using Firebase / Google Cloud Platform. AI-generated content is provided on an "as-is" basis. We make no representations or warranties regarding its accuracy, completeness, reliability, timeliness, safety, or suitability for any purpose. AI outputs may contain errors, hallucinations, omissions, stale information, or misleading information. You should independently verify any AI-generated information before relying on it, and you must not rely on AI outputs for medical, clinical, insulin dosing, emergency, legal, financial, or safety-critical decisions. AI providers, models, prompts, routing, limits, and availability may change at any time without notice.

6. No Guaranteed Features, Roadmap, or Availability

StatsKey is provided as an evolving application. We do not guarantee that any current, advertised, planned, experimental, beta, preview, early-access, or future feature will launch, continue, work for every user, work on every device, work in every region, remain free or included in any subscription tier, remain materially the same, or satisfy your expectations or intended use.

This applies to all Application features and services, including without limitation AI food recognition, barcode or label scanning, nutrition estimates, nutrient databases, goals, reports, dashboards, Flow chat, generated plans, generated insights, glucose displays, glucose trend analysis, CGM connections, Dexcom Share, Dexcom API, Abbott LibreLinkUp, Nightscout, Apple Health import or export, historical health record syncing, cloud sync, backups, data export, Friends, social feeds, messaging, sharing, subscriptions, App Store billing, Stripe billing, workout recording, GPS, route maps, weather, notifications, widgets, integrations, web features, and any roadmap, demo, screenshot, support statement, marketing claim, app-store text, pricing-page statement, or other public or private communication about StatsKey.

Except where these Terms expressly say otherwise, statements about features, timing, performance, integrations, pricing, compatibility, models, providers, uptime, accuracy, or future plans are informational only and are not binding commitments, warranties, service-level agreements, or guarantees. Paid access, if any, is for the Application as made available during the applicable subscription period, not for any particular feature, integration, provider, data source, report type, AI model, AI result, sync capability, clinical output, business outcome, or future deliverable.

We may suspend, limit, meter, throttle, delay, refuse, remove, replace, rename, region-restrict, account-restrict, device-restrict, charge separately for, or discontinue any feature or service at any time, with or without notice, for any reason, including operational needs, maintenance, security, abuse prevention, safety, legal or regulatory concerns, App Store or platform review, third-party requirements, provider outages, API changes, rate limits, account permissions, credential problems, sensor or device issues, cloud failures, AI provider changes, data quality issues, business reasons, or our judgment that a feature should not be offered.

You are responsible for maintaining any device, sensor, account, subscription, operating system, network connection, permissions, credentials, third-party app, manufacturer app, receiver, and provider authorization needed for optional features to work. You should not rely on StatsKey or any announced feature as your sole copy of data, sole source of health information, sole workflow for care, sole billing record, sole communication channel, or sole means of meeting any legal, medical, professional, athletic, dietary, or business obligation.

7. Acceptable Use

You may:

• Use StatsKey for personal nutrition, fitness, and health tracking.
• Share your own data with healthcare providers.
• Export your data for personal use.

You may not:

• Use the Application for any unlawful purpose.
• Attempt to reverse engineer, decompile, or disassemble the Application.
• Share, sell, or distribute other users' data.
• Use automated systems, bots, or scripts to access the Application.
• Upload inappropriate, offensive, or illegal content.
• Exploit our API or attempt to log data in excess of what a human could reasonably record in a single day.
• Circumvent any security measures or access controls.
• Use the Application, CGM integrations, or any third-party credentials, tokens, sessions, APIs, or data in a way that violates the applicable third-party terms, developer agreements, product labeling, regulatory approvals, or access permissions.
• Use any CGM integration for automated insulin delivery, active patient monitoring that is intended to drive immediate clinical action, hospital or inpatient monitoring, emergency response, clinical trials, regulated medical-device functionality, or any other use that requires regulatory clearance or provider authorization that StatsKey has not expressly obtained.
• Use the Application to develop a competing product or service.

Any violation of these restrictions may result in immediate termination of your account and revocation of your subscription without refund.

8. Subscription and Payment

• StatsKey offers a free trial period, after which a paid subscription is required.
• Subscriptions are billed through Apple's App Store and are subject to Apple's terms and conditions.
• Your subscription automatically renews unless you cancel at least 24 hours before the end of the current billing period.
• Your sole remedy for dissatisfaction with the service is cancellation of your subscription.
• Subscription fees are non-refundable except where required by applicable law.
• We do not guarantee that any feature will always be available, uninterrupted, accurate, timely, or error-free.
• Subscription fees do not entitle you to any particular current or future feature, integration, provider, AI model, data source, report, sync capability, or level of uptime except where required by applicable law.
• We reserve the right to change pricing with reasonable notice.

9. Intellectual Property

• StatsKey, its design, code, content, trademarks, and all original materials are the exclusive property of StatsKey and are protected by copyright, trademark, and other intellectual property laws.
• You retain ownership of your personal data.
• By using the Application, you grant us a limited, non-exclusive, worldwide license to process, store, and transmit your data solely to provide and improve the service.

10. Location Services

StatsKey uses location services to enhance workout tracking. By enabling location services:

• Background location: Accessed only during an active workout session to track route, distance, pace, and elevation. Ceases when the workout ends or is paused.
• Foreground location: Accessed while the app is in active use for map display and activity logging accuracy.
• Location data is stored on your device and, if cloud sync is enabled, in your encrypted account.
• We do not sell, share, or monetize location data with third parties.
• You may disable location services at any time; however, this may limit workout tracking functionality.

11. Third-Party Services

StatsKey integrates with third-party services including but not limited to:

• Apple HealthKit, including optional health and glucose record import (subject to Apple's terms)
• Apple and Google Sign-In (subject to their respective terms)
• Firebase / Google Cloud Platform (subject to Google's terms)
• CGM providers and services (including Dexcom CGM systems, Dexcom Share, Abbott LibreLinkUp, and Nightscout — subject to their respective terms, privacy policies, product labeling, and availability)
• AI providers (including Google, Anthropic, OpenAI, xAI, and other providers we may select — subject to their respective terms)

We are not responsible for the availability, accuracy, security, legality, performance, continuity, pricing, rate limits, policies, or practices of any third-party service. Your use of third-party services is at your own risk and subject to those parties' terms. You are responsible for maintaining any third-party account, device, sensor, receiver, mobile app, permissions, authorizations, internet connection, and product setup required for those services to work. We may disable, limit, or remove a third-party integration if the provider changes access, objects to the integration, imposes limits, changes terms, experiences an outage, or if we determine that continuing the integration creates legal, security, operational, regulatory, or business risk.

12. Dexcom and CGM Data Integration

StatsKey may allow you to connect continuous glucose monitor data from third-party services, including Dexcom CGM systems, Dexcom Share, Apple Health, Abbott LibreLinkUp, and Nightscout. These integrations are optional and are enabled only when you provide the required permissions, credentials, URL, or other connection information.

• Authorization. By connecting a CGM service, you represent that you own the account or have legal authority to connect it, and you authorize StatsKey to retrieve, process, display, store, and sync glucose readings and related metadata on your behalf.
• Third-party status. StatsKey is not affiliated with, sponsored by, endorsed by, approved by, validated by, or acting as an agent of any CGM provider unless we expressly state otherwise in writing. If a provider requires separate authorization, production access, review, certification, or agreement, the related integration is available only to the extent that provider permits it. We may limit, suspend, or disable CGM functionality at any time if required or recommended by a provider, platform, regulator, security concern, legal obligation, or our own risk assessment.
• Third-party terms. You must comply with the applicable third-party terms, privacy policies, product labeling, account rules, and sharing settings. We do not control those terms and cannot guarantee that a third-party provider will continue to permit, support, or make available any integration.
• Revocation and disconnection. You may disconnect a CGM integration in the Application, and some providers may also allow you to revoke authorization in the provider's own account settings. Disconnection or revocation stops future syncing where technically available, but it does not automatically delete glucose records already imported into StatsKey; those records remain subject to our Privacy Policy and your deletion rights.
• Delay and availability. CGM data in StatsKey may be delayed, incomplete, duplicated, unavailable, simulated, stale, transformed, mislabeled, or different from data shown in the manufacturer's own device, receiver, or application. Provider services may be interrupted, rate-limited, changed, suspended, or terminated without notice. Sandbox or simulated CGM data must not be used for clinical validation, training algorithms, production use, or medical decisions.
• No medical or safety-critical use. StatsKey is a historical tracking, analysis, and wellness application. It is not a real-time glucose monitor, alarm, remote monitoring service, emergency notification system, diabetes treatment tool, or automated insulin delivery component. Do not use StatsKey to detect, treat, or respond to hypoglycemia or hyperglycemia, to calculate or administer insulin, to adjust medication, or to make other medical decisions.
• No misuse. You may not use StatsKey to bypass access controls, scrape or overload third-party services, interfere with service integrity, access CGM data without authorization, monitor another person without legal authority and consent, compare or benchmark CGM products or services, make false or misleading statements about a CGM provider or its products, or use CGM integrations for clinical, commercial, emergency, or regulated medical-device purposes.

Dexcom and Dexcom Share are registered or unregistered trademarks of Dexcom, Inc. in the United States and/or other countries. Abbott, FreeStyle Libre, and LibreLinkUp are trademarks of Abbott and its affiliates. Nightscout is an open-source project and is not operated by StatsKey.

13. Disclaimers

THE APPLICATION AND ALL CONTENT, FEATURES, INTEGRATIONS, OUTPUTS, DATA, REPORTS, DISPLAYS, ALERTS, SUMMARIES, AI RESPONSES, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, QUIET ENJOYMENT, AVAILABILITY, TIMELINESS, COMPATIBILITY, AND ACCURACY. WE DO NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, AVAILABLE, ACCURATE, COMPLETE, CURRENT, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY NUTRITIONAL ESTIMATES, AI-GENERATED CONTENT, HEALTH INSIGHTS, GLUCOSE ANALYSIS, BIOMETRIC CORRELATIONS, REPORTS, SYNCED RECORDS, THIRD-PARTY DATA, OR FEATURE OUTPUTS. ALL DATA AND OUTPUTS ARE APPROXIMATIONS AND MAY CONTAIN ERRORS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STATSKEY, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SERVICE PROVIDERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY, OR ENHANCED DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, SUBSCRIPTION VALUE, BUSINESS OPPORTUNITY, HEALTH OUTCOMES, BODILY INJURY, EMOTIONAL DISTRESS, PERSONAL INJURY, DEVICE FAILURE, MISSED ALERTS, MISSED SYNC, LOST RECORDS, RELIANCE ON AI OUTPUTS, RELIANCE ON HEALTH OR GLUCOSE INFORMATION, FAILURE TO DELIVER A FEATURE, DELAYED DELIVERY, REMOVAL OF A FEATURE, THIRD-PARTY SERVICE FAILURE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE APPLICATION, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, PRODUCT LIABILITY, WARRANTY, STATUTE, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE APPLICATION SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100 USD).

15. Indemnification

You agree to indemnify, defend, and hold harmless StatsKey, its officers, directors, employees, contractors, agents, service providers, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of or reliance on the Application; (b) your violation of these Terms; (c) your violation of any rights of a third party; (d) your violation of any third-party terms, product labeling, provider rules, or applicable law; (e) your use of any health, glucose, AI, sync, social, billing, or integration feature; or (f) any claim that your use of the Application caused damage to a third party.

16. Dispute Resolution and Arbitration

Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Application shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court, except that either party may seek injunctive or equitable relief in court for intellectual property matters.

Class Action Waiver. YOU AND STATSKEY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

Opt-Out. You may opt out of this arbitration agreement by sending written notice to ryanws@statskeybiometrics.com within 30 days of first accepting these Terms. If you opt out, disputes will be resolved in the courts specified in Section 18.

17. Account Termination

• You may delete your account at any time through the Application.
• We may suspend or terminate your account at any time for violation of these Terms, or for any other reason at our sole discretion, with or without notice.
• We may suspend the service for maintenance, updates, or other operational reasons.
• Upon termination, your right to use the Application ceases immediately.
• Deleted data cannot be recovered. We are not responsible for loss of data resulting from account deletion.
• Sections 4, 5, 6, 11, 12, 13, 14, 15, 16, and 18 survive termination.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Subject to the arbitration provision above, any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of such courts.

19. Force Majeure

We shall not be liable for any failure, delay, suspension, data loss, degraded performance, non-delivery, or discontinuation resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, labor disputes, government actions, regulatory action, App Store or platform action, power failures, internet or telecommunications failures, cloud provider outages, payment processor outages, AI provider outages, third-party API changes, CGM provider changes, rate limits, security incidents, or third-party service outages.

20. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

21. Entire Agreement

These Terms, together with the Privacy Policy and any purchase terms presented by Apple, Stripe, or another payment provider, constitute the entire agreement between you and StatsKey regarding your use of the Application and supersede all prior agreements, understandings, promises, statements, and representations, including any statements about features, roadmap items, timing, pricing, integrations, or future deliverables.
